GP-Act III is a tripartite partnership among GP Investments, IDS III LLC, and Boxcar Partners III, LLC, combining decades of experience in investing, building and managing multi-billion-dollar private and public companies across multiple sectors and geographies.
GP-Act III’s purpose is to bring to public capital markets a high-quality, billion-dollar-plus company through a flexible and creative structure that enables optionality and customization. As a SPAC, we have the scale, sponsorship and investor base to support a successful public markets debut.

Fersen Lambranho
Co-Chairman of the Board
Mr. Lambranho currently serves on the boards of Ensure Holdings LLC, G2D Investments, GP Advisors, and Grupo SBF. He has been a board member of non-profit entities, such as the São Paulo Museum of Art since 2014. In addition, he previously chaired the board of GP Investments Acquisition Corp. (the first special purpose acquisition company sponsored by GP Investments) and also served on the boards of LEON Restaurants, Magnesita Refratários, RHI Magnesita, BRMalls, Allis, BHG, Estácio, BRZ Investimentos, São Carlos Empreendimentos e Participações, Playcenter, Shoptime, Farmasa, Hypera, BR Properties and Americanas.com, among other companies
Steven L. Spinner
Co-Chairman of the Board
Mr. Spinner was CEO of United Natural Foods for 13 years, and he also served as Chairman of the board for 6 years. Before his time at United Natural Foods, Mr. Spinner served as CEO of Performance Food Group for 3 years. Steven has over 28 years of extensive experience in the wholesale food distribution business, having held executive management positions with major US food, logistics, and brand businesses.
Antonio Bonchristiano
Chief Executive Officer
Mr. Bonchristiano has served as a member of the board of directors and is the CEO of GP Investments, which he joined in 1993. Prior to joining GP Investments, Antonio was a Partner at Johnston Associates Inc., a finance consultancy based in London, and worked for Salomon Brothers Inc. in London and New York. Currently, he serves as a member of the boards of directors of Ensure Holdings LLC, Virtual Dining Concepts Inc., G2D Investments, Ltd., BR Properties, and GP Advisors. Mr. Bonchristiano also served on the board of several non-profit organizations, including Fundação Estudar in São Paulo, Brazil, Fundação Bienal de São Paulo and John Carter Brown Library, in Providence, Rhode Island, USA.
Rodrigo Boscolo
Chief Financial Officer
Mr. Boscolo is a Managing Director and the CFO of GP Investments. Mr. Boscolo’s role encompasses deploying the firm’s proprietary capital in North America and Europe, as well as managing the firm’s global finance, treasury, technology, investor relations and corporate development functions. Since joining GP Investments in 2010, Mr. Boscolo has led or was involved in multiple transactions in a broad range of geographies and industries, particularly in the technology, business services, consumer, restaurants and retail sectors. He is also a member of the board of directors of G2D Investments, Ltd. Previously, he also has served on the board of directors of LEON Restaurants.
Andrew Fleiss
Director on the Board
Mr. Fleiss is an investment professional focused on sourcing, structuring and creating value in private and public investments. Mr. Fleiss worked at GP Investments, making private equity investments and managing GP Investments Acquisition Corp, a special purpose acquisition company which merged with Rimini Street Inc. Previously, Mr. Fleiss worked at Liberty Partners making buyout and growth equity investments in middle market companies. Mr. Fleiss began his career in investment banking at UBS Warburg, advising on mergers and acquisitions and working on corporate equity and debt issuances.
Alexandre Ruberti
Director on the Board
Mr. Ruberti currently serves as CEO of Airwater Co. Americas (on demand air to water technology company) . He carries over 25 years of experience in the consumer packaged goods industry. Previously, Mr. Ruberti served as CEO of Future Farm (a plant-based meat company), as the President of Red Bull Distribution Company USA, Executive Vice President of Sales for Red Bull North America, Chief Commercial Officer of Red Bull North America, and as Head of National Sales and Distribution of Brazil. Prior to Red Bull, he spent nine years at Coca-Cola Bottlers in Brazil.
Sergio Pedreiro
Director on the Board
Mr. Pedreiro currently serves as a director of Ashland Global Holdings Inc (NYSE:ASH), Eve Air Mobility (NYSE:EVEX), and Grupo Algar. Mr. Pedreiro also serves as a partner at NuOrion Capital and as an advisor to Spayne Lindsay & Co. He has more than 20 years of experience in international finance and business administration across a diverse array of industries. Previously, Mr. Pedreiro served as the COO of Revlon, Inc., as the CEO of Estre Ambiental Inc., as a board member of Advanced Disposal Inc., and as an Associate Partner at BTG Pactual’s private equity division. Before joining BTG Pactual, Mr. Pedreiro was the CFO of Coty Inc. (NYSE:COTY), having led the company’s initial public offering, which raised approximately $1 billion in proceeds. He also served as the CFO of America Latina Logística S.A (currently Rumo S.A.) (BVMF:RAIL3).
